Legal Counsel at Flex

Drafts and negotiates commercial contracts, researches regulations, and supports product, compliance, licensing, and customer-facing legal matters.

Mid Remote Posted 1 day ago RemoteFirstJobs Product
What this role involves

Flex is building the AI-native private bank for business owners.

We’re re-architecting the entire financial system for entrepreneurs—from the first dollar a business earns to how that value compounds, moves, and is ultimately spent in real life. Banking, credit, payments, personal finance, and financial operations—rebuilt from the ground up as a single, intelligent system. Flex is the full financial home for ambitious owners.

Since launching publicly in September 2023, Flex has scaled from zero to nine-figure annualized revenue, with a clear path to profitability by late 2026. We move fast, ship relentlessly, and operate with extreme ownership.

Our customers are affluent business owners ($3–$200M in revenue)—the backbone of the economy and one of the most underserved segments in finance. They’re stuck with outdated banks and fragmented tools. We’re replacing all of it. The opportunity is massive: a ~$1T+ revenue market hiding in plain sight. Our ambition is to build a $100B+ company by delivering a product that is fundamentally better—not incrementally improved.

Flex has raised $100M+ in equity and $300M+ in debt.

Team & Locations

We hire exceptional people who want to build hard things and see their work matter immediately. Roles are available in: San Francisco, Miami, New York, and fully remote.

Flex Fuels Ambition.

What You’ll Do

  • Draft, review, and revise commercial agreements, including NDAs, vendor agreements, customer contracts, and other day-to-day agreements across the business.

  • Support contract negotiations by preparing drafts and redlines, researching issues, and working with senior members of the Legal team to resolve open points.

  • Assist with product and regulatory matters, including researching legal requirements, reviewing product materials and disclosures, and helping prepare terms, policies, notices, and other customer-facing materials.

  • Research federal and state laws and regulations affecting Flex and help turn that research into clear, practical guidance for the Legal & Compliance team and our business partners.

  • Support regulatory and licensing work, including preparing filings, gathering information, maintaining records, and helping respond to requests from regulators, banks, and other partners.

  • Assist with disputes, litigation, collections, and recovery matters, including researching claims, organizing records, preparing correspondence, and coordinating with internal teams and outside counsel.

  • Help maintain Flex’s corporate records and support governance and other general corporate matters.

  • Work directly with teams across Flex to gather facts, understand business needs, and help the Legal team respond quickly and effectively.

  • Help build and improve the templates, playbooks, processes, and tools we use to make the Legal function more efficient.

  • Use AI and other technology as part of your everyday practice, and help us find new ways to automate routine legal work and make the entire team better.

What Makes You A Great Fit

  • You’re smart, curious, and eager to learn. You don’t need to know everything yet - we don’t expect you to. But you want to understand why things work the way they do, and you’re willing to dig until they make sense.

  • You take pride in your work. Details matter to you. You proofread. You check your work. And you don’t consider something finished just because you’ve reached the bottom of the page.

  • You’re comfortable asking questions. You know there’s a difference between figuring something out and guessing, and you’re not afraid to ask for guidance when you need it.

  • You learn quickly. You take feedback well, apply it the next time, and want your second attempt at something to be noticeably better than your first.

  • You’re a strong writer and clear thinker. You can research an unfamiliar issue, identify what matters, and explain what you’ve found without burying the answer.

  • You’re organized and dependable. If you’re given an assignment, you keep track of it, communicate about it, and get it done.

  • You want to understand the business. You’re interested in more than the legal answer. You want to understand what Flex is building, how our products work, and why the question matters in the first place.

  • You’re willing to do the work. No assignment is beneath you, and you understand that becoming a great lawyer means getting the fundamentals right before anything else.

  • You’re comfortable with change. Priorities move quickly at a startup, new questions come up constantly, and you won’t always have a form, precedent, or perfectly defined assignment waiting for you.

  • You want responsibility and are ready to earn it. We’ll give you meaningful work, support, and opportunities to grow. What you do with those opportunities is up to you.

What We’re Looking For

  • J.D. from an accredited law school and an active bar license, or eligibility to become admitted promptly.

  • 0–2 years of legal experience. Law firm, in-house, government, judicial clerkship, and other relevant legal experience will all be considered.

  • Strong academic, legal research, writing, and analytical skills.

  • Excellent attention to detail and a commitment to producing accurate, thoughtful work.

  • Strong organizational skills and the ability to manage multiple assignments and deadlines.

  • Good judgment, including knowing when to work through an issue independently and when to ask for help.

  • Strong communication skills and the ability to work effectively with lawyers and non-lawyers across the company.

  • An interest in contracts and commercial work and a desire to develop strong drafting and negotiation skills.

  • An interest in fintech, financial services, technology, or startups. Prior experience in these areas is helpful, but not required.

  • Curiosity about AI and a willingness to learn how to use it responsibly to research, draft, analyze, and work more efficiently.

  • A willingness to take on a broad range of assignments and learn different areas of an in-house legal practice.

  • Genuine excitement about Flex and the opportunity to grow as a lawyer while helping us build the company.

Legal Director, UCC & Tax Lien Compliance at Toast

Leads Toast’s UCC, tax lien, levy, garnishment, and bankruptcy compliance function while building teams, policies, controls, and operational processes.

Exec Posted 1 day ago RemoteFirstJobs Product
What this role involves

At Toast, we are passionate about creating raving fans and delivering an unparalleled customer experience — and that includes assisting our restaurant customers when their business becomes entangled in a creditor dispute. When a lien, levy, or garnishment is filed against a merchant, our customers need a partner who moves quickly, communicates clearly, and gets it right the first time. As Toast brings the end-to-end management of liens and levies in-house, we need an experienced subject matter expert to build and lead this function from the ground up.

As the Director, UCC & Tax Lien Compliance, you will own the day-to-day operational management of Toast’s merchant liens and levies and bankruptcy compliance programs, build the specialized team and processes required to run it well, and lead the insourcing of this function in close partnership with Compliance, Care, Product and Engineering and Legal. This is a hands-on, build-it role: you’ll inherit an active, high-visibility function with real customer and compliance stakes, and you’ll be the person who turns it into a well-governed, scalable operation.

About this role

Strategic Ownership

  • Build and maintain a state-by-state policy framework.
  • Build the governance backbone for the function: SOPs, decision frameworks, case tracking, and closed-loop quality review, so that policy is applied consistently across the team and holds up to audit and legal scrutiny.
  • Determine the right tools and systems required to manage an effective Liens & Levies compliance process, work with product and impacted stakeholders to minimize losses to Toast.
  • Own the phased liens and levies compliance transition plan with Toast’s third-party partner, including data-sharing, visibility, and handoff of withholding and remittance responsibilities.
  • Establish and own the escalation path for complex or high-risk cases (e.g., competing creditor claims, disputed releases, bankruptcy proceedings, fraudulent or ambiguous documentation), partnering with Risk, Legal, and third-party fintech partners (e.g., payment processors) to reach sound, consistent decisions.
  • Define and track operational KPIs (e.g., resolution time, case volume, escalation rates) and report progress and risk to cross-functional and executive stakeholders.

Operational Ownership

  • Own the day-to-day management and execution of Toast’s merchant liens and levies compliance program, including customer communications, intake, validation, withholding, escalations, complex/unique scenario handling, remittance, and release, serving as the subject matter expert to bring and operate this function in-house.
  • Drive the operational process work required to insource the liens and levies compliance functions currently managed by a third-party partner, including business requirements, workflow design, and transition sequencing, in partnership with Fintech Product, Engineering, Legal and other cross-functional stakeholders.
  • Build and lead a dedicated liens & levies oversight team within Fintech Risk, defining roles, workflows, staffing needs, and training as case volume scales.
  • Serve as the organization’s subject matter expert on handling liens, levies, garnishments, and similar legal orders — including UCC filings, judgment liens, tax levies, bankruptcy implications, lien priority, and change-of-ownership/change-of-legal-entity scenarios — and translate that expertise into developing, owning, and maintaining clear, defensible policies, procedures and processes.
  • Represent the team in cross-functional planning with Legal, Fintech, and Engineering as the technical build (case management, funds management, and reporting systems) is scoped and delivered.

Do you have the right ingredients?

  • 7+ years of experience working with UCC and tax liens, levies, bankruptcies, and garnishments and the associated compliance requirements, as well as change and people leadership experience.
  • Experience developing compliance management programs for regulated functions.
  • Experience managing complex, sensitive escalations directly with customers, creditors, and their attorneys, exercising sound judgment on matters with real legal and financial consequences.
  • Deep subject matter expertise in the mechanics, legal/regulatory distinctions, and compliance requirements applicable to different types of liens, levies, and garnishments — including UCC-1 filings, judgment liens, tax levies, and lien priority–and how each is impacted by different events impacting merchants, such as bankruptcy, business organizational changes (e.g., change of ownership and mergers/acquisitions), and know your customers (KYC)/know your business (KYB) requirements and events.
  • Working knowledge of the regulatory landscape surrounding merchant funds handling, such as state-by-state garnishment and levy requirements, and money transmission/payment facilitator obligations, and strong knowledge of UCC Article 9 concepts as they apply to secured creditor claims.
  • Demonstrated ability to build an operating model, team, and governance structure where none previously existed, with comfort operating in ambiguity while a function transitions between partners and systems.
  • Proven cross-functional leadership skills — able to align Legal, Risk & Compliance, Engineering, Finance, and Customer Care around a shared process and drive decisions to closure without direct authority over every stakeholder.
  • Experience managing a vendor or partner transition (e.g., insourcing a previously outsourced function), including defining business requirements and partnering with technical teams on system design.
  • Excellent written and verbal communication skills, with the ability to translate complex legal/operational nuance into clear guidance for frontline teams and concise updates for executive stakeholders.
  • Bachelor’s degree or equivalent practical experience; a background in banking operations, legal/paralegal work, or compliance is a plus but not required.

Legal Counsel at Flex

Drafts and negotiates commercial agreements, researches regulations, and supports product, compliance, licensing, and customer-facing legal matters.
